EB will collaborate on the following but is not limited to:
Product Development and Marketing Agreement
This product development and marketing agreement is entered into by and between EB, the Provider, and the Client, upon payment confirmation.
- Services
The Provider shall provide product development and marketing services pursuant to the scope of work attached to this agreement in exchange for the fees detailed in the Compensation section of this agreement. All files, works, prototypes, etc. shall be delivered to the Client in accordance with the delivery schedule set out in this agreement. The Provider agrees that all final works shall become the sole property of the Client once full payment has been made to the Provider.
- Confidentiality
The Provider EB agrees to hold all details related to product development for the Client as proprietary and confidential. No aspect or detail of the product being developed or any assets or information provided to the Provider by the Client shall be disclosed to any party without prior written consent from the Client.
III. Compensation
The Client agrees to compensate the Provider as follows: four payments of $10,000 USD.
IV, Payment
$10,000 USD. will be taken directly from your account via Stripe or Paypal. This will be triggered upon sign-up. The remaining payments will be automatically drawn monthly thereafter, with three further payments. Totally $40,000.
Late payments shall be subject to a 2% late fee. The Client acknowledges that late payments may delay any product development and marketing campaigns until Payment is made in full.
- Scope Modifications
The Client agrees that the pricing detailed in this product development and marketing agreement is based on the scope of work below. Any changes to the scope of work for this project may lead to additional costs for the Client.
VII. Project Completion
The Provider shall make every effort to adhere to the delivery schedule [XIIII]. Should the project be delayed for any reason, the Provider agrees to notify the Client immediately upon discovering such delays. The Client shall not have the right to receive damages from the Provider for project delays.
VIII. Force Majeure
Neither the Client nor the Provider shall be liable for delays or failure to uphold this agreement’s terms due to circumstances beyond their control, such as acts of God, war, terrorism, or other extenuating circumstances.
- Binding Arbitration
The laws of International Trading Agreements shall govern this agreement. Any dispute which cannot be resolved through good-faith negotiation shall be subject to the ruling of an independent arbitrator, whose ruling shall be considered final and binding on both parties.
- Indemnification
The Client agrees to indemnify and hold the Provider harmless against any and all claims of loss or damage without limitation except in cases of willful misconduct or gross negligence.
XI, Software
The Client shall have sole responsibility for payment of any Software, excluding any free Software options offered by the Provider.
XII, Copywriting Service
All copywriting and development of copy, script, and blog by the Provider for the sole purpose of use on websites, webinars, social media, marketing campaigns, and VSL, value videos shall be the Copyright of the Provider for a period of ninety [90] days from the date of receipt by the Client for approval and use, and on the condition that the Client has paid all outstanding invoices in full.
The Client shall reserve the Copyright of any images or videos provided to the Provider.
XIII, Scope of Work
The Provider shall deliver to the Client (subject to mutual agreement):
- Everything details on this proposal page.
The Client shall deliver information, current copy, images, and videos requested by the Provider for marketing and development purposes. If no information is delivered to the provider, the project cannot be built out. This will then be a breach of the contract from the client, and the provider has the right to terminate the contract.
XIIII, Delivery Schedule
Ongoing for the duration of the agreement.
- Warranty
Final product and campaign designs are submitted to the Client “as-is”, without any granted or implied warranty.
Acceptance
By selecting the tickbox, (I have read and agree to the terms and conditions of this page), the Provider and Client agree to enter into this product development and marketing agreement with one another, to execute their respective roles in good faith, and to uphold the entire terms of this agreement.
